SUNSET COUNTRY QUILTERS’ GUILD
CONSTITUTION
Article 1:NAME
The name of this organization shall be “Sunset Country Quilters’ Guild” and will be referred as the “Guild”
Article 2:PURPOSE
The Guild shall promote quilting in the Dryden area by meeting regularly, organizing workshops to meet the needs of all quilters (beginners to advanced), networking with other guilds and sharing information on events in the region.
The Guild shall be operated without the purpose of gain for its members and any profits to the guild shall be used in fulfilling its purpose.
Article 3:MEMBERSHIP
Membership shall be open to all, upon payment of Annual Fees.
Article 4:OFFICERS
The Executive of the Guild shall consist of the President, Immediate Past President, Vice President, Secretary, and Treasurer.
Article 5:MEETINGS
Meetings shall be held monthly as specified in the bylaws and shall be open to all members. The Guild shall hold an Annual Meeting at a time as specified in the bylaws. At the Annual Meeting the members shall hold elections to elect such officers and committees as are specified in the bylaws.
Article 6:DISSOLUTION
Upon the dissolution of the Guild and after the payments of its debts and liabilities, all remaining assets shall be distributed or disposed of to charitable organizations who carry on their work solely in Ontario.

By-Laws
DUTIES OF EXECUTIVE OFFICERS
PRESIDENT: The president shall call and preside at all general meetings of the Guild and oversee all affairs of the Guild and shall have signing authority on the bank records.
PAST PRESIDENT: The past president shall be responsible for receiving nominations for the offices and chair election of same.
VICE PRESIDENT: The vice president shall fulfill the responsibilities of the president in the absence of the president and assist the president with the operation of the Guild.
SECRETARY: The secretary shall maintain accurate minutes of the Guild meetings and deal appropriately with all correspondence. Minutes shall be read at the next meeting. The secretary shall send cards to members when appropriate expressing sympathy or congratulations on behalf of the guild and shall have signing authority on the bank records.
TREASURER: The treasurer shall keep accurate records of all the receipts and disbursements of the Guild and shall have signing authority on bank records. A report of the financial standing of the Guild shall be made available at each meeting of the Guild and a copy of same given to the secretary. The treasurer will give an annual financial report at the September meeting
DUTIES OF COMMITTEES and CHAIRS
PROGRAM: The Program committee shall organize the education portion of the general meetings of the guild.
EDUCATION: The education committee shall organize sewing days, workshops and retreats.
QUILT SHOW: The quilt show chair shall establish and oversee the subcommittees required for the quilt show.
PUBLICITY: The publicity chair shall arrange for advertising of guild activities including the quilt show.
LIBRARIAN: The librarian shall ensure that materials for loan are made available and loans and returns are recorded accurately.
HISTORIAN: The historian shall maintain a record of events held by the Guild and make this available to the membership through the library.
NEWSLETTER: The member responsible for the newsletter shall obtain and communicate to the membership information relevant to the guild. A committee to assist may be established.
QUORUM, MEETINGS AND TERM OF OFFICE
QUORUM: A quorum for meetings of the Guild shall be one-third of the paid-up membership.
MEETINGS: The Guild shall hold regular monthly meetings during the months of September to June, at times and dates as set from time to time. The President may call an executive meeting at such times as are deemed necessary. Elections shall take place at the June meeting. The fiscal year shall run from September 1st to August 31st.
TERMS OF OFFICE: Members of the Executive will hold office for a three year term and may be re-elected for the same office for one additional term. In the event that an office becomes vacant before the term is up, the president shall appoint a replacement to complete the term.
The Quilt Show Chair shall be elected for a two year term and may serve consecutive terms. All other Committee Chairs shall be elected annually and may serve consecutive terms.
FEES AND DUES
MEMBERSHIP FEES: A membership fee shall become due in September. Fees shall be as set by the membership from time to time. Members shall be encouraged to pay their membership in advance.
WORKSHOPS
Workshops organized by the guild shall be open first to members of the guild and if space permits shall then be made available to other quilters.
Amendments to the Constitution and Bylaws may be made at any General Meeting, provided a notice of motion is made at two consecutive meetings prior to that meeting which voting will take place. A quorum of 50% of the voting members in attendance at that meeting and a 2/3 majority vote is required.
